Contracting entity: Adrologic Pvt Ltd, a company incorporated in India (CIN U62011RJ2023PTC088227), registered office 30/160, Sector 3, Pratap Nagar, Sanganer, Jaipur 302033, Rajasthan ("Adrologic", "we", "us"). CRAIVIS is an in-house product of Adrologic.
1. Who we are and what this agreement covers
1.1 These Terms of Service (the "Terms") are a contract between Adrologic and the person or organisation that creates an account, buys a plan, connects a channel, approves content through a link, or otherwise uses CRAIVIS at craivis.com, in the CRAIVIS mobile app, or through any surface we operate (together, the "Service").
1.2 The Terms incorporate by reference: the Privacy Policy, the DPDP Consent Notice, the Data Processing Addendum ("DPA"), the Acceptable Use Policy ("AUP"), the Refund Policy, the AI Transparency page and the Data Deletion page, each at craivis.com/legal/. If they conflict, the order of precedence is: (1) a signed order form or written agency agreement, (2) the DPA (for personal data only), (3) these Terms, (4) the AUP and the Refund Policy, (5) the other pages.
1.3 If you use the Service for an organisation, you confirm you have authority to bind it, and "you" means that organisation. If you are an agency, Section 15 also applies. If you only approve content through a magic link, Section 16 is the part of these Terms that applies to you.
1.4 The Service is a business tool. It is offered to businesses, agencies and the people who work for them, not to consumers acting for personal purposes.
2. Definitions
| Term | Meaning |
|---|---|
| Organisation | The account that pays and is the tenant boundary: a single business ("direct") or an agency. |
| Brand | One business or location we make content for. The unit we bill. (Our billing systems may call it a "listing".) |
| Channel | One connected social account belonging to a Brand (an Instagram professional account, a Facebook Page, a Threads profile, a LinkedIn member profile, and others as they become available). |
| Connector | Our software that talks to one Platform's official API, or to an Aggregator on our behalf. |
| Platform | A third-party service you publish to (Meta's Instagram, Facebook and Threads; LinkedIn; X; Bluesky; Google Business Profile; and, later, TikTok, YouTube, Pinterest). Each has its own terms. |
| Aggregator | A publishing vendor that holds its own Platform approvals and publishes for us through official APIs while our own approvals are pending (at launch, Upload-Post; Ayrshare is the fallback vendor). |
| Official APIs | A Platform's documented, developer-programme-approved application programming interfaces. Nothing else. |
| OAuth | The "Connect Instagram" style flow where the Platform, not us, asks you for permission and hands us (or the Aggregator) an access token. |
| Post | One finished piece of content for one Brand (an image, a carousel, a motion post or an occasion greeting). One Post may be published to several Channels as variants and still counts once. |
| Motion post | A short animated version of a still image rendered by our templates. |
| Generative reel ("Reel") | A short video made by an AI video model. Metered. |
| Generation | One paid call to an image or video model that produces a render. |
| Outputs | Everything the Service generates for you: captions, hashtags, alt text, plans, briefs, images, carousels, motion posts, reels, reports. |
| Customer Content | Everything you or your Approvers give us: website text we fetch at your request, logos, photos, product lists, prices, hours, tone notes, edits, approvals and rejections, contact lists for the WhatsApp add-on. |
| Brand Brain | What we remember about a Brand: kit, products, tone, past posts, what was approved and rejected and why. |
| Occasion Graph | Our database of festivals, holidays, observances and business events with dates, regions, lead times and sensitivity flags. |
| Plan catalogue | The administrative tables where every plan, price, included quantity, cap, discount tier, coupon, refund rule and feature flag lives. The pricing page and your invoices render from it. |
| Named units | The things you buy and can count: posts, reels, links, messages. There are no credits. |
| Modes | Draft-only, Approve-then-post (the default) and Autopilot (Section 6). |
| Approver | A person who approves or rejects content for one Brand through a magic link, with or without an account. |
| brand_grant | The record that lets an Organisation manage a Brand it does not own (typically an agency managing a direct customer's Brand). Revocable by either side. |
| brand_transfer | Moving a Brand to a new owner Organisation with its Brand Brain, channels, occasions, history and ledger intact; both sides accept in-product. |
| Ledger | Our append-only record of every generation, its cost, every unit consumed and every refund. The source of truth for billing. |
3. Eligibility and accounts
3.1 Age and capacity. You must be at least 18 years old and able to enter a binding contract. The Service is not directed at children and we do not knowingly create accounts for them.
3.2 Sign-in. You sign in with a one-time code sent to your e-mail address or mobile number, or with your e-mail address and a password of your own. We never ask for the password of any social media account. Keep your device, inbox and password secure; you are responsible for activity under your account until you tell us it has been compromised at contact@adrologic.com.
3.3 Organisations and roles. Every account belongs to an Organisation. The Owner controls billing, members, deletion and agency invitations. Admins manage brands and members but not billing. Editors create, edit, approve, schedule and connect channels for assigned brands. Approvers approve or reject for one brand. Viewers read reports. Seats are unlimited on every paid plan.
3.4 One person, one account. One account per person and one Organisation per business, unless we agree otherwise (for example an agency with a separate direct account). Creating multiple accounts to obtain more of the free pre-payment allowance (Section 11.8) is a breach of the AUP.
3.5 Staff access. To support you, our staff may view your account as you see it. Such sessions are limited to one hour, are logged in an audit log you can see, and never expose channel tokens. Agencies never have this capability over their clients; they act through brand_grants (Section 15).
4. What the Service does, and what it never does
4.1 What it does. The Service (a) builds a Brand profile from your website and the facts you confirm, (b) plans content around your location, industry and the Occasion Graph, (c) generates Posts, Motion posts and Reels with captions in the languages you choose, (d) lets you or your Approvers approve, reject or edit them, (e) publishes approved content to your Channels at scheduled times through Official APIs, (f) reads the Platforms' published analytics for those posts, and (g) offers the add-ons in Section 14.
4.2 Official APIs only. We publish and read only through Official APIs, either directly under Adrologic's own developer approvals or through an Aggregator that holds its own approvals. We do not and will not use browser automation, cookie import, scraping, unofficial endpoints or shared accounts. This is a term of our contract with you and with every Platform.
4.3 Publishing and analytics only. No engagement automation, ever. The Service never likes, follows, unfollows, comments, replies, sends direct messages, joins groups, votes, or inflates views, followers or reach on your behalf, and has no feature, setting, vendor or "advanced" option that does. You may not ask us to do any of these things, and we will refuse if you do. This restriction exists because the Platforms prohibit it and enforce it against the connected account, not only against the tool. Repeated requests are a ground for suspension (Section 19).
4.4 Reminder publishing. Where a Platform's API cannot post a format (for example Stories with stickers, or Google Business Profile before our API access is approved), we send you the finished asset with a "post this now" link. That is not automated publishing and you decide whether to post.
4.5 Features marked "coming". The pricing page and the product show some features with a "coming" badge and a week (for example generative reels, the calendar, Autopilot, the native apps, the agency console, the SEO add-on, the WhatsApp add-on, and Channels awaiting Platform review). A "coming" feature is not sold as delivered and you are not charged for it until it is live. Where a plan includes a quantity of a "coming" unit (included reels), the first month's included quantity is credited in full on the day the feature ships.
4.6 Platform approvals are outside our control. Some Channels, formats and scopes depend on approvals by the Platform (Meta App Review, LinkedIn Community Management tiers, TikTok and YouTube audits, Google OAuth verification, WhatsApp messaging scopes). We show honest "Coming after platform review" badges; we do not promise dates for them.
4.7 The Aggregator bridge. At launch, Instagram, Facebook Pages and (if supported) Threads and LinkedIn member profiles are published through Upload-Post under a white-labelled consent screen. Publishing still happens through Meta's and LinkedIn's Official APIs under the Aggregator's approvals. When our own connector is approved we migrate your Channels; that migration may require a one-tap re-authorisation on your part, which we will request through the connection-health panel.
5. Connecting Channels: your authorisation and how to revoke it
5.1 Only OAuth. You connect a Channel by pressing "Connect" and completing the Platform's own login and consent screen. The Platform then issues an access token to us or to the Aggregator. There is no field anywhere in the Service to paste a token, a password, a cookie or an API key, and anyone who asks you for one is not us.
5.2 What you authorise. By connecting a Channel you authorise us, for that Brand and in the Mode you select (Section 6), to: create and publish posts, carousels, videos, stories and other supported formats to that Channel; set the Platform's AI-disclosure flags where the API exposes them; read the Platform's insights for the content we published and for the account as the granted scopes allow; and refresh the token as the Platform permits. The scopes requested are listed on the consent screen and in the Privacy Policy.
5.3 Your warranties for each Channel. You warrant that (a) you own the account or have the account owner's written authority to connect it, (b) the account is in good standing and of the type the Platform requires (for Instagram, a professional account), (c) connecting it does not breach any agreement you have with the Platform or with a third party, and (d) for agency-managed Brands, the client has authorised the agency to connect and publish (Section 15).
5.4 Token handling. Until our own Meta connector is live, the Aggregator holds the Platform token and we hold only a profile identifier and a connected / needs-re-authorisation flag. When our own connector is live, tokens are stored as ciphertext only, envelope-encrypted, decrypted only at publish time, never logged and never returned by any API.
5.5 Token expiry and re-authorisation. Platform tokens expire (Meta and Threads: 60 days, refreshed by us; LinkedIn member: 60 days and cannot be refreshed by anyone, so you reconnect; Google: per Google's rules). The connection-health panel and our notifications tell you when a Channel needs attention, at least 48 hours before a scheduled post would be affected. A post whose Channel is unhealthy is held as "blocked with fix link"; it is never dropped silently.
5.6 How to revoke. You can revoke our access at any time by (a) Brand → Channels → Disconnect in the Service, (b) removing CRAIVIS (or, during the Aggregator bridge, the white-labelled app name shown on your consent screen) from the Platform's own "apps and websites" or "business integrations" settings, or (c) e-mailing contact@adrologic.com. Revocation stops all future publishing to that Channel immediately; scheduled posts move to "Ready — reconnect to post". Revoking on the Platform side also triggers Meta's Data Deletion Callback, described on the Data Deletion page.
5.7 What revocation does not do. It does not delete content already published on the Platform (Instagram's API does not allow deletion; where an API allows it we can delete on request), and it does not cancel your subscription (Section 13).
6. Posting Modes and your responsibility for what is published
6.1 Three Modes per Brand. (a) Draft-only: nothing is scheduled or published. (b) Approve-then-post (the default): nothing is published until a person with the right role taps Approve; the approved post then publishes at its scheduled time. (c) Autopilot ("Post without asking me"): opt-in per Brand on plans that include it (Growth and Agency at the launch defaults in Section 11.1), available only after that Brand has 10 approvals; every generated post is shown to you at least 24 hours before it publishes and publishes unless you veto it; daily caps apply; a one-tap kill switch pauses the Brand; every safety gate in Section 6.3 still runs and a per-post audit record is kept. Autopilot ships in Week 8 and is not enabled for any Brand before its caps, kill switch, sensitivity gating and similarity check exist.
6.2 Approval is publication. When you (or your Approver, or Autopilot after the veto window you chose) approve a post, you are instructing us to publish it in your name. You are responsible for it as if you had posted it yourself: for its accuracy (prices, hours, claims), its legality in every country where it is visible, its compliance with the Platform's rules, and its effect on people. We check what we can (Section 6.3) but we are not the publisher of your content.
6.3 Safety gates. Before and after generation we run automated checks: prompt moderation; an output review for brand fit, factual claims against your Brand profile, regulated-industry claims, competitor names, language quality and legibility; a real-person-likeness block without a consent record; a novelty check against your own recent posts and sibling Brands in your Organisation; a sensitivity-day check from the Occasion Graph; and Platform specification validation with C2PA signing and AI flags. A failed gate triggers one automatic regeneration, then the post waits in Draft with a reason. The gates come online in stages: prompt moderation and the sensitivity-day check first, the output review and the specification, C2PA and AI-flag gate before public launch, and the real-person-likeness gate and the novelty check together with Autopilot (Week 8 of our build). Until the likeness gate and its consent record exist, prompt moderation refuses every request to depict a real, identifiable person, so no real person's likeness is generated at all. The gates reduce risk; they do not guarantee that an Output is accurate, lawful or appropriate, and they are not a substitute for your approval.
6.4 Sensitivity days. On days the Occasion Graph flags as solemn (mourning days, certain religious observances, disasters), the Service does not generate or auto-publish promotional content for affected regions. You can still create and approve content by hand; that decision, and its consequences, are yours.
6.5 Scheduling. We wake early and fire at the scheduled minute; no Platform guarantees the minute, and Platform-side processing (for example video containers) can add seconds to minutes. A publish is marked "published" only when the Platform returns an external post ID. If it fails, we notify you within our 5-minute target with the reason and a one-tap fix. If a post is more than 24 hours late because a Channel stayed unhealthy, it is held, not published, until you act.
6.6 Corrections and deletions after publishing. Where a Platform's API allows deletion (at launch Facebook and Threads; X and Bluesky when those Channels are offered; TikTok and YouTube when offered and if their APIs allow it), you can delete from the Service; where it does not (Instagram), you delete on the Platform. Published Platform AI labels cannot be removed by anyone.
7. Customer Content and the licence you give us
7.1 You keep what is yours. You own your Customer Content. Nothing in these Terms transfers it to us.
7.2 Licence to operate. You grant Adrologic a worldwide, non-exclusive, royalty-free licence, for as long as your account exists plus the deletion periods on the Data Deletion page, to host, copy, process, analyse, transform, transcode, combine with Outputs, display to you and your Approvers, and transmit to the Platforms and our sub-processors your Customer Content, solely to provide, secure and improve the Service for you. This includes fetching your website when you paste its URL, storing your logos and photos, remembering your approvals and rejections in the Brand Brain, and sending brand facts inside prompts to the AI providers listed in the DPA.
7.3 Website and third-party material. When you paste a website or Google Maps link you confirm it is your business's, or that you have authority to use its content. We cache Google Places data for at most 30 days (place ID excepted) and we ask you to confirm business facts and to upload or approve your own photos before any post uses them.
7.4 People in your content. Do not upload photos of identifiable people unless you have their permission to use their likeness in marketing. The Service blocks generation of a real person's likeness unless you record that consent in the Service (and, until the consent record ships, refuses such generation entirely; Section 6.3). You are responsible for that consent.
7.5 No training of general models on your content. We do not use your Customer Content or Outputs to train general-purpose AI models, and we route generation only to providers whose terms give commercial rights and do not train on customer inputs (a licence flag in our provider router; providers that train on inputs are excluded). We do use your own approvals, rejections and edits to personalise your Brand Brain, and we use aggregated, de-identified usage statistics to improve the Service.
7.6 Marketing use only with consent. We will not show your Brand, content or results in our marketing unless you agree in writing (an e-mail is enough), and you can withdraw that agreement at any time for future use.
7.7 Agency clients' content. An agency grants the licence in Section 7.2 on behalf of each client Brand it creates and warrants it has the client's authority to do so (Section 15.5).
8. AI Outputs: your licence, and no ownership warranty
8.1 You can use it commercially. Subject to payment and these Terms, Adrologic assigns to you whatever right, title and interest Adrologic holds in the Outputs generated for your Brands, and grants you a perpetual, worldwide, non-exclusive licence under any rights Adrologic cannot assign, to use, reproduce, adapt, publish and commercially exploit those Outputs. The Service's wording is "You can use this post commercially". It never says "you own it", for the reason in 8.2.
8.2 No warranty of copyright. AI-generated material may not be protected by copyright, or may be protected only in the parts a human chose, arranged or edited (your approve and edit steps are those parts). The law differs by country and is changing. We give no warranty that you own copyright in any Output, that it is registrable, or that it is unique. Similar or identical Outputs may be generated for other customers; we do not police that beyond the novelty check within your own Organisation.
8.3 Third-party rights. Outputs are produced by third-party models under those providers' licences (listed on the AI Transparency page). Music comes only from licensed generators or libraries and carries each provider's use conditions (for example, a music bed licensed for social posts but not for film, television or games). Some providers give an intellectual-property indemnity for their outputs and some do not. Our warranty that an Output does not infringe third-party rights is limited to passing through whatever indemnity the provider that generated it gives us, and only to the extent we can enforce it. Beyond that, Outputs are provided "as is" (Section 24).
8.4 Trade marks, people and claims. You are responsible for checking that an Output does not use a third party's trade mark, name, likeness or protected design, and that its claims are true and lawful where you publish it. The Service flags competitor names and regulated claims; it does not clear them.
8.5 Labels stay. Outputs carry C2PA Content Credentials and, by default, an AI-disclosure label. You may not strip C2PA metadata or provenance from an Output, and the Service has no tool to do it (Section 9).
8.6 Templates and design system. The templates, fonts we license, layouts, the Occasion Graph, industry briefs, trend briefs and the Brand Brain structure remain Adrologic's property. Your licence covers the rendered Outputs, not the templates themselves.
9. AI labelling and provenance
9.1 On by default, for everyone. Every Brand, including every agency-managed client Brand, has "Show 'Made with AI' label" on by default. Every exported asset carries C2PA Content Credentials. Where a Platform's API has an AI flag (TikTok's AIGC toggle, YouTube's synthetic-media field, an Aggregator's self-disclosure flag) we set it automatically. Where a Platform shows no label of its own, the disclosure is a line in the caption.
9.2 Override. A Brand Owner or Admin may switch off the caption disclosure line for a Brand. Every override is logged with who, when and why. The override never removes C2PA metadata or Platform flags, is never available for content containing a real person's likeness, and is not available for a Brand whose country requires a visible label where the Platform shows none (India's Synthetically Generated Information rules). An agency that overrides for a client Brand confirms the client agreed.
9.3 Irreversible platform labels. Meta reads C2PA and applies "Made with AI" (or its successor label) to the post. Neither you nor we can remove it afterwards. Publishing an AI Output means accepting that label.
9.4 Legal duties travel with you. India's IT Rules amendment on Synthetically Generated Information (in force 20 Feb 2026) requires labels and embedded provenance and forbids stripping them; the EU AI Act Article 50 applies from 2 Aug 2026 to content shown in the EU. We build the marking in; you are responsible for the disclosure duties that fall on you as the person publishing.
10. Platform rules and Platform actions
10.1 You comply with each Platform. By connecting a Channel you agree to that Platform's terms, community standards, advertising rules and developer policies as they apply to you (for example, Meta Platform Terms and Community Standards; LinkedIn User Agreement; X Terms and Automation Rules; Google Business Profile content policies; Bluesky Community Guidelines). Where a Platform rule and these Terms differ, the stricter rule applies to what you publish.
10.2 Platform-specific points you accept.
| Platform | What you accept |
|---|---|
| Professional account required; JPEG images only, up to 8 MB; up to 100 API posts per 24 hours; no deletion via API; links in captions are not clickable (we offer a first-comment link). | |
| Facebook Pages | 30 Reels per Page per 24 hours; Story media is never reused; a Page token is derived from your user login. |
| Threads | 250 posts per 24 hours; ~30-second container wait. |
| LinkedIn (member) | Token expires every 60 days with no refresh: you reconnect; the API gives no analytics, so Results say so. |
| X | Metered (Section 14.3): posts without a link are inside your allowance; a post with a link costs the pass-through fee; links are off by default; no duplicate or near-duplicate posts across accounts you operate; automated accounts must self-label as automated (we set this); no reply automation of any kind. |
| Google Business Profile | Available after Google approves our API access; posts follow Google's content policies; no ranking promises. |
| Bluesky | 300-grapheme text; community guidelines. |
| TikTok, YouTube Shorts, Pinterest | Not available until the Platform's audit or upgrade completes; shown as "Coming after platform review". |
10.3 Platform actions are not our breach. If a Platform rate-limits, rejects, labels, removes or suspends your content or account, changes its API, prices or policies, revokes or fails to renew our or the Aggregator's approvals, or has an outage, we are not in breach of these Terms. We will tell you what happened, in plain words, within our notification target, and we will offer reminder publishing where a Channel is unavailable.
10.4 Our own compliance. We hold, and keep current, the developer approvals, business verification and, for WhatsApp, Tech Provider status that each Platform requires of Adrologic. We answer Platform audits, and you agree to cooperate with reasonable requests that relate to your Channels (for example confirming that a Channel is yours).
11. Plans, named units and fair-use caps
11.1 The pricing page is the price list. Plans, prices, included quantities, caps, discount tiers, add-on prices and coupons live in the Plan catalogue and are shown at craivis.com/pricing in named units. The launch defaults, as of 2026-09-17, are:
| Plan | Monthly (USD / INR) | Yearly (= 10 × monthly) | Brands | Channels per Brand | Included per Brand per month | Included Standard reels (pooled) |
|---|---|---|---|---|---|---|
| Starter | $29 / Rs 1,499 | $290 / Rs 14,990 | 1 | 4 | 20 posts (16 images + 4 carousels), motion posts, occasion calendar, Approve-then-post, magic-link approver | 2 (USD) / 1 (INR) |
| Growth | $79 / Rs 3,999 | $790 / Rs 39,990 | 3 | 8 | 30 posts per brand (18 images + 6 carousels + motion posts), Autopilot, GBP posts, assistant, month planner, analytics | 6 (USD) / 4 (INR) |
| Agency | $199 / Rs 9,999 less discount tier | $1,990 / Rs 99,990 less discount tier | 10 (USD) / 5 (INR) | unlimited | Starter scope (20 posts) per brand + Autopilot, white-label, client self-connect, magic-link approvals, bulk generation, per-client reports, one wholesale invoice | 10 (USD) / 5 (INR) |
Top-ups and add-ons: extra Brand $15 / Rs 999 per month; post pack $7 / Rs 499 per 10 posts; Standard reel $7 / Rs 549 single or $59 / Rs 4,999 per 10; Cinematic reel $29 / Rs 1,999 each; X post with link $0.25 / Rs 20; WhatsApp template message at Meta's rate + 20% from a prepaid wallet; Website audit & SEO report $19 / Rs 999 per website per month. INR prices include GST at 18%. We may change any of these under Section 12.6; the catalogue is authoritative over this table.
11.2 What counts as what. An image post, a motion post, or a carousel of 4-6 slides is 1 post (a carousel beyond the ratio of 1 carousel per 5 posts counts as 2). An occasion greeting is 0.5 post. Captions, hashtags, alt text and per-channel variants are free within a sanity cap of 5 caption regenerations per post. Design edits through templates (text, photo swap, logo, colour) are free. The first regeneration of an image, carousel, motion post or reel each month is free; each further regeneration consumes one post or one reel.
11.3 Reel caps. Generative reels are metered on every paid plan from the day they ship. Two caps apply per Brand: a daily cap (default: 1 Standard or Cinematic render per Brand per day) and a monthly cost cap (a ceiling on what one Brand may cost us to generate in a month; default 30% of the net plan price for USD plans and 40% for INR plans). At 80% of the cost cap we warn you; at 100% the Brand drops to Draft-only until the next cycle or a top-up. A draft-tier preview is shown before every Standard render, and "Render this reel" consumes one reel.
11.4 When the allowance is used up. At 100% of a Brand's post or reel allowance the Brand drops to Draft-only and the review card offers a pack. There is never a silent overage and never a surprise invoice.
11.5 No roll-over; packs persist. Unused included posts and reels expire at the end of each monthly cycle. Purchased packs do not expire while the Organisation has an active subscription and are forfeited 30 days after the subscription ends.
11.6 Unlimited seats, not unlimited anything else. Every paid plan has unlimited members. Nothing else in the Service is unlimited, and any "unlimited" wording anywhere is a mistake to be read as "within the caps in the catalogue".
11.7 Fair use of "free within caps" items. Automated or scripted use of the Service, use of the free items in 11.2 at a volume that indicates resale or bulk extraction, or use of the demo and pre-payment allowance across multiple identities, is outside fair use and may be rate-limited or suspended.
11.8 Before you pay. Without an account: the public demo generates up to 3 draft-tier posts from a website URL, rate-limited and bot-protected; demo runs are kept for 7 days and then deleted. After e-mail or phone verification: up to 10 Standard-tier generations are saved to your account. Nothing publishes and no Channel can be connected before payment. There is no free trial. A trial may be introduced later by a change to the catalogue; if so, its terms will be shown at checkout.
11.9 Regional prices. Prices differ by country. Your price is set by your billing address and card or bank country, never by your IP address. Using a billing address or payment method from a country where you do not do business to obtain a lower price is a breach and we may re-price or suspend the account.
12. Fees, billing and payment
12.1 Charge from day one. There is no free trial (the trial length in the Plan catalogue is 0 days). You choose a plan and pay at plan selection, which the Service asks for at the moment you try to connect your first Channel: payment comes before any Channel is connected and before anything publishes. Plans renew monthly or yearly until cancelled.
12.2 Payment provider. Payments are processed by Razorpay. In INR: UPI AutoPay or e-mandate for recurring plans (each recurring mandate is at or below Rs 15,000, with a pre-debit notice at least 24 hours before each charge, as the RBI framework requires); yearly INR plans above Rs 15,000 are collected as a one-time payment with additional-factor authentication or through e-NACH, never as an auto-debit mandate above the ceiling. In USD: international cards, priced in USD and settled to us in INR. We never see or store your card number; Razorpay does.
12.3 Taxes. INR prices are shown inclusive of GST at 18%; give us your GSTIN at checkout if you want it on the invoice. USD prices are for customers outside India; they are exclusive of any tax, duty or withholding in your country, which you bear.
12.4 Yearly plans. A yearly plan costs 10 times the monthly price (two months free) and is charged up front. It renews yearly. Section 13 and the Refund Policy govern refunds.
12.5 Failed payments. If a renewal charge fails we retry over 7 days and tell you each time. After 7 days the Organisation moves to Draft-only (nothing publishes; drafts and history stay readable). After 30 days of non-payment the subscription is cancelled and the post-cancellation timelines on the Data Deletion page begin.
12.6 Price changes. We may change prices and included quantities. A change never applies to a current billing period. For a renewal at a new price we e-mail the Owner at least 30 days before the renewal; if you do not want the new price, cancel before it takes effect. Archiving a plan keeps existing subscribers on it until they change plans.
12.7 Invoices and the Ledger. Every charge, unit consumed and refund is a Ledger row you can see in Billing. Invoices are issued electronically. If the Ledger and a payment-provider record differ, the Ledger is the record of what you used and the provider is the record of what you paid.
12.8 Chargebacks. Contact us before disputing a charge with your bank; most issues are fixed the same day. An unresolved chargeback suspends the Organisation until it is settled.
12.9 Coupons. A coupon is a catalogue object with a scope, a duration and a redemption cap. Tester and partner codes are coupons on a paid plan, may carry their own generation and publish caps, and are not refundable for cash.
13. Cancellation and refunds
13.1 Cancel any time. The Owner can cancel in Billing. Cancellation stops the next renewal; the plan stays active to the end of the paid period. Drafts and history stay readable for 30 days after the period ends, then the deletion timelines on the Data Deletion page apply.
13.2 The refund rule. Full refund within 7 days of a charge if the Organisation published nothing in the cycle that charge paid for; otherwise pro-rata at our (admin) discretion. Failed or moderated generations are refunded automatically regardless. The refund window and the rule are fields in the Plan catalogue that we can change; the rule shown at checkout when a charge is made is the one that applies to that charge. The full rule, including yearly plans, packs, add-ons and wallets, is in the Refund Policy, which renders from the catalogue and is the authoritative statement.
14. Add-ons
14.1 WhatsApp broadcast add-on (built Week 12; on sale when Meta grants the messaging scopes, realistically month 4). The add-on sends approved posts as WhatsApp template messages to contacts who have opted in through your own WhatsApp Business Account, which you connect through Meta's Embedded Signup with Adrologic acting as Tech Provider. It is not a way to post to WhatsApp Status or Channels, which have no API. You agree that: (a) every recipient opted in to receive marketing messages from you, and you keep and, on request, show the proof; the Service keeps an opt-in ledger for that purpose; (b) every message uses a template approved by Meta; (c) messages are billed per message at Meta's published rate for the recipient's country at the time of sending plus 20%, itemised in the Ledger and drawn from a prepaid wallet; Meta's rates change without notice to us and the pass-through changes with them; (d) if Meta lowers your quality rating the Service pauses sending automatically until it recovers; (e) the WhatsApp Business Terms and the WhatsApp Business Messaging Policy apply to you; (f) sending to numbers that did not opt in is a breach of the AUP and of Meta's rules and is a ground for immediate suspension of the add-on.
14.2 Website audit & SEO report (Week 11). For $19 / Rs 999 per website per month we produce a score, a list of what is correct, a list of issues, recommendations and a monthly re-check, from PageSpeed data, our own crawl of your site and, if you connect it, read-only Google Search Console data. We never promise rankings, traffic or any search outcome, and we never generate mass AI pages. "Request a fix" is a lead form; a fix, if you want one, is a separate service from Adrologic under separate written terms and is not part of the Service. Our use of Google Search Console data complies with the Google API Services User Data Policy, including the Limited Use requirements.
14.3 X posts with links. X charges per post with a URL. A post without a link is inside your plan allowance; a post with a link costs $0.25 / Rs 20, which is a pass-through of X's fee. Links are off by default and enabled per post.
14.4 Cinematic reels. A premium video tier (behind a feature flag until its provider terms are verified), priced per reel, never bundled, counting against the daily reel cap.
14.5 Extra Brands. An extra Brand is billed at the catalogue price from the day you add it, prorated for the first cycle; removing a Brand stops its charge at the next renewal. A Brand moving between Organisations under a brand_transfer is billed to the new owner from the effective date, prorated.
15. Agencies
15.1 What the Agency plan is. An Organisation of type "agency" manages Brands for its clients. In the launch model ("agency-pays") the agency creates each client Brand, owns it, pays for it and can delete it; the client is a display name and an Approver on that Brand, not a separate account. A client-pays model, where the client's own Organisation owns the Brand and the agency manages it through a brand_grant, is a later option.
15.2 Wholesale price, agency's own resale price. The agency pays Adrologic the Agency plan price plus the extra-Brand price for each Brand above the included number, less the agency's discount tier. Discount tiers are set by us by number of active Brands (defaults: 1-4 Brands 0%, 5-9 10%, 10-24 15%, 25-49 20%, 50 or more 25%), applied automatically to each invoice from the agency's active Brand count and recalculated monthly; we may agree a per-agency override in writing. What the agency charges its own clients is the agency's decision and the agency's business; the agency sets its own prices and collects them outside the Service. We do not invoice or collect from an agency's clients, and we are not party to the agency's contracts with them.
15.3 One invoice. The agency receives one invoice per period across all its Brands. The agency is responsible for payment whether or not its clients have paid it.
15.4 White-label. The Agency plan includes white-label: a custom domain, the agency's logo and colours, branded sender e-mail, branded magic-link pages and digests, "Powered by" removable, and the agency's logo in the mobile app after login. White-label does not transfer any intellectual property in the Service to the agency, does not let the agency present itself to a Platform as the developer of the Service, and does not remove the disclosure in 15.6. During the Aggregator bridge the Platform's consent screen shows our white-labelled Aggregator app name; we tell agencies this in writing and it is not a breach.
15.5 The agency's responsibilities. The agency warrants and agrees that, for every client Brand: (a) it has a written engagement with the client authorising it to create marketing content and to publish to the client's Channels; (b) Channels are connected by the client through a self-connect link or by the agency with the client's authority, always through OAuth, never with the client's password; (c) it has told the client that AI generates the content and that AI labels are on by default, and it obtains the client's agreement before any override (Section 9.2); (d) it has given the client the privacy information required by law, naming the agency as the party responsible for the client's data and CRAIVIS (Adrologic) as the processor (15.6); (e) it is responsible for its members', Approvers' and clients' compliance with these Terms and the AUP; (f) it does not manage a Brand for a competitor of another client in a way that produces duplicate content across Channels it operates (the novelty check flags this, the agency owns it).
15.6 Adrologic disclosed as processor. Whatever the agency's branding, Adrologic processes client data as the agency's processor, and the agency's privacy notices to its clients must say so. The DPA applies between the agency and Adrologic for that data.
15.7 When a client leaves or joins. A brand_transfer moves a Brand to a new owner Organisation with its Brand Brain, occasion settings, Channels, history and Ledger intact; both Organisations accept in-product; billing follows the new owner from the effective date, prorated; Channels connected under the Aggregator may need the client to re-consent; an audit row is kept permanently. An agency may not withhold a transfer to a client that has paid the agency what it owes; the agency and its client resolve their own money outside the Service.
15.8 Agency indemnity. The agency indemnifies Adrologic against claims, losses, fines and costs arising from client content it approved or published, from a client's lack of authority over a Channel, from the agency's pricing or contracts with its clients, and from any breach of 15.5.
15.9 Brand grants. A direct customer may invite an agency to manage a Brand it owns by creating a brand_grant. The agency then has Editor rights plus bulk actions on that Brand, always sees a "Managing: {client}" banner, and never sees other Brands of that customer. Either side can revoke the grant at any time; no data moves.
16. Approvers and magic links
16.1 An Approver receives a link (craivis.com/r/{token} or the agency's white-label equivalent) that opens the review page for one Brand for 7 days, bound to the Approver's e-mail or phone, optionally behind a one-time code. No account or password is needed.
16.2 By tapping Yes, No or "Change something", the Approver instructs publication (or not) on behalf of the Brand, confirms they have authority from the Brand's owner to do so, and accepts this Section 16, the AUP and the Privacy Policy. We record each decision with time, IP address and user agent, and show it as "Approved by {name} (via link)".
16.3 The Approver's data is processed on behalf of the Organisation that owns the Brand (the agency or the direct customer), which is the party responsible for it; Adrologic is the processor.
17. Mobile app
17.1 The CRAIVIS app for iOS and Android is a companion for approvals with push notifications, the calendar, connection health and re-authorisation, caption and date edits and notifications. It has no editor and no checkout. Plans are bought and managed on the web; the app shows a "Manage your plan on the web" link only where store rules allow. You can delete your account from inside the app.
17.2 For the iOS app, Apple's standard Licensed Application End User License Agreement applies in addition to these Terms and Apple is a third-party beneficiary of these Terms for the app; for Android, Google Play's terms apply to the download.
17.3 Push notifications are sent through Expo's push service and the Apple and Google notification services; you control them in Settings, with quiet hours by default.
18. Acceptable use
18.1 The AUP is part of these Terms. In summary: no unlawful, infringing, deceptive, hateful, sexual, violent or harassing content; no impersonation; no synthetic likeness of a real person without their consent; no unsubstantiated regulated claims (health, finance, real estate, education, gambling, alcohol, tobacco and the other categories the AUP lists); no spam, duplicate or near-duplicate posting across accounts; no messaging without opt-in; no scraping of the Service or of any Platform; no attempt to obtain engagement automation; no circumvention of caps, labels, rate limits or security; no resale of the Service except as an agency under Section 15.
18.2 We may review content for AUP compliance by automated means and, for content flagged by those means or reported to us, by a person, and we may decline to generate, hold in Draft, or remove content that breaches the AUP.
19. Suspension and termination
19.1 Suspension by us. We may suspend all or part of the Service for an Organisation, a Brand or a Channel, immediately and without prior notice where the delay would cause harm, if: (a) we reasonably believe there is a breach of the AUP or of a Platform's rules that risks the connected accounts, other customers or our approvals; (b) a Platform, regulator, court or the takedown workflow requires it; (c) we detect a security incident, fraud, a chargeback or misuse of the pre-payment allowance or regional pricing; (d) fees are unpaid under 12.5; (e) you repeatedly ask for engagement automation or for a password or token path. We tell you why, in writing, as soon as we lawfully can, and what you need to do to be reinstated.
19.2 Kill switches. For safety incidents we can pause publishing per region and per Platform for all customers at once. We use this only where a Platform outage, a legal order, or a sensitivity event makes automated publishing unsafe, and we show it on the status page.
19.3 Termination by you. Cancel under Section 13 and, if you wish, delete your Organisation under the Data Deletion page.
19.4 Termination by us. We may terminate these Terms (a) for cause, with immediate effect, if a suspension ground in 19.1 is not cured within 14 days of notice or is incapable of cure; (b) for convenience, on 30 days' written notice to the Owner, in which case we refund any prepaid fees for the period after termination; (c) immediately if we are required to stop providing the Service in your country by law or by a Platform.
19.5 Effect. On termination: publishing stops; scheduled posts are not published; you may export your content (Section 21.4) during the 30-day readable window; brand_grants and Channels are disconnected and tokens revoked; sums due become payable; the deletion timelines on the Data Deletion page apply; Sections 7.2 (for the deletion period), 8, 10.3, 15.8, 22-28 survive.
20. Service changes, availability and support
20.1 Availability. We aim for continuous availability and publish a public status page with uptime and incident history at status.craivis.com. We do not promise a specific uptime and we do not offer service credits at launch. Planned maintenance is announced on the status page; the publishing engine is designed so that scheduled posts fire from a separate path and are not affected by rendering maintenance.
20.2 Failure notification. Our target is to notify you of any failed publish within 5 minutes, with the reason and a fix. This is a design goal we measure and publish; it is not a guarantee, and a missed notification is not a breach.
20.3 Changes to the Service. We improve the Service continuously and may add, change or retire features. Where we retire a feature you pay for, we give 30 days' notice and, if the feature was the substantial reason for your plan, a pro-rata refund of the affected period on request. Features behind flags (Autopilot, Cinematic, the WhatsApp and SEO add-ons, beta Channels) may be changed or withdrawn on shorter notice while they are marked beta.
20.4 Connector migration. When we move a Channel from the Aggregator to our own connector, or change Aggregator, we will ask you to re-authorise through the connection-health panel. A Channel not re-authorised within the notice period is held (not disconnected) until you act.
20.5 Support. contact@adrologic.com and, where offered, WhatsApp Business chat. We aim to respond within 1 business day. Support is in English and Hindi.
21. Privacy and data protection
21.1 The Privacy Policy explains what personal data we collect and why. The DPDP Consent Notice is the consent notice under India's Digital Personal Data Protection Act, 2023.
21.2 Roles. For the data of your members and your Organisation's account, Adrologic is the data fiduciary (controller). For the personal data inside your Customer Content, your Approvers' data, your clients' data (agencies) and your WhatsApp contacts, you are the data fiduciary (controller) and Adrologic is the data processor, under the DPA, which forms part of these Terms for that data.
21.3 Where data lives. Our database is hosted in Singapore, our web application in Mumbai, media storage on a global CDN with an Asia-Pacific jurisdiction hint, and AI generation with providers principally in the United States, each listed with its location in the DPA (Annex C). EU and UK residency is not offered in the first 12 months.
21.4 Export. You can export your Customer Content and Outputs (JSON plus media links) on request to contact@adrologic.com at any time while your account exists and during the 30-day readable window after cancellation; we deliver within 30 days.
22. Confidentiality
22.1 Each party keeps the other's non-public information confidential, uses it only for these Terms, and discloses it only to people who need it and are bound by confidentiality, or as the law requires (with notice where lawful). Your Customer Content, Brand Brain, Ledger and unpublished drafts are your confidential information. Our pricing overrides, provider routing, prompts, templates, security measures and unreleased features are ours. Published posts are, by definition, not confidential.
23. Intellectual property
23.1 Adrologic and its licensors own the Service, its software, templates, prompts, the Occasion Graph, industry and trend briefs, the design system, trade marks and documentation. You receive a limited, revocable, non-exclusive, non-transferable right to use the Service under these Terms. Nothing here grants rights in Adrologic's or CRAIVIS's name or marks, or in the Platforms' marks.
23.2 Feedback you give us may be used without restriction or payment.
23.3 No reverse engineering, scraping or resale. You may not copy, reverse-engineer, scrape, build a competing dataset from, or resell the Service, except that an agency may resell the Service's results to its clients under Section 15. Access to our API, when offered, will be under its own terms.
23.4 Trade mark and copyright complaints about content we published for a customer go to contact@adrologic.com; our takedown workflow is described on the AI Transparency page, Section 13 (craivis.com/legal/ai-transparency).
24. Warranties and disclaimers
24.1 We warrant that we will provide the Service with reasonable skill and care, through Official APIs only, and in accordance with these Terms.
24.2 Except as stated in 24.1 and 8.3, the Service and all Outputs are provided "as is" and "as available". We do not warrant that Outputs are accurate, original, lawful in your market, free of third-party rights, or fit for a particular purpose; that any post will publish at a particular minute; that any Platform will accept, keep or not label content; that the Service will be uninterrupted or error-free; or that any business result (reach, followers, sales, search ranking) will follow. All implied warranties, conditions and terms are excluded to the extent the law allows.
24.3 AI makes mistakes. Prices, hours, claims and names in Outputs are drafts until you approve them.
25. Indemnities
25.1 By you. You indemnify Adrologic, its directors, employees and contractors against all claims, losses, damages, fines, penalties and reasonable costs (including legal fees) arising from: your Customer Content; content you or your Approvers approved or published; your breach of a Platform's rules; your use of a Channel you were not authorised to connect; your regulated, defamatory, infringing or deceptive claims; your WhatsApp messages; and, for agencies, Section 15.8.
25.2 By us. Adrologic indemnifies you against third-party claims that the Service's own software and templates (not Outputs, not Customer Content, not the Platforms, not third-party models) infringe that third party's intellectual property in India, provided you notify us promptly, let us control the defence and cooperate. We may modify or replace the Service or, if neither is reasonable, terminate and refund prepaid fees for the unexpired period. This is your sole remedy for such claims.
26. Limitation of liability
26.1 Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for anything that cannot be limited by applicable law.
26.2 Excluded losses. Subject to 26.1, neither party is liable for indirect or consequential loss, loss of profit, revenue, business, goodwill, data (beyond our restoration duty under the DPA), or for Platform actions against your accounts, or for the acts of a Platform or provider we do not control.
26.3 Cap. Subject to 26.1, Adrologic's total liability under or in connection with these Terms, in any 12-month period, is limited to the fees you paid to Adrologic in the 12 months before the event giving rise to the claim (or, if you paid nothing, one month of the Starter plan price in your currency at the catalogue price then in force).
26.4 The caps and exclusions apply whatever the basis of the claim (contract, tort, statute or otherwise).
27. Governing law and dispute resolution
27.1 Law. These Terms, and any dispute or claim arising out of or in connection with them or the Service, are governed by the laws of India.
27.2 Talk first. Raise a dispute in writing to contact@adrologic.com. The parties will try in good faith to resolve it within 30 days.
27.3 Arbitration. Any dispute not resolved under 27.2 shall be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by agreement or, failing agreement within 15 days, appointed under section 11 of that Act by the High Court with jurisdiction over the seat. The seat of arbitration is Jaipur, India. The language is English. With both parties' agreement, or if the arbitrator so directs, the arbitration is conducted on documents alone without an oral hearing. The award is final and binding. Each party bears its own costs unless the arbitrator decides otherwise.
27.4 Courts. Subject to 27.3, the courts at Jaipur have exclusive jurisdiction, including for interim relief under section 9 of the Act and for enforcement. Either party may seek injunctive relief in any competent court for breach of Sections 4.3, 22 or 23.
27.5 Consumers and foreign customers. If mandatory law in your country gives you rights that 27.3-27.4 cannot take away, those rights are unaffected.
28. General
28.1 Notices. To you: e-mail to the Owner's address and an in-product notice. To us: contact@adrologic.com for legal notices, with a copy by post to 30/160, Sector 3, Pratap Nagar, Sanganer, Jaipur 302033, Rajasthan. A notice is received one business day after sending by e-mail.
28.2 Changes to these Terms. We may update these Terms. For material changes we give 30 days' notice by e-mail and in-product; continuing to use the Service after the effective date is acceptance. Changes required by law, by a Platform, or that only benefit you may take effect immediately. Each version is dated and archived at craivis.com/legal/terms/history.
28.3 Assignment. You may not assign these Terms without our written consent, except to a successor of your whole business on notice. We may assign to an affiliate or a successor of the Service on notice.
28.4 Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including Platform outages, provider outages, internet failures, government action, epidemics and natural disasters, provided it takes reasonable steps to mitigate.
28.5 Entire agreement; severability; waiver. These Terms and the documents they incorporate are the whole agreement. If a clause is unenforceable it is read down or severed and the rest stands. A failure to enforce is not a waiver.
28.6 Relationship. The parties are independent contractors. Agencies are not our agents and we are not theirs.
28.7 Language. These Terms are written in English. Translations (including a Hindi UI) are for convenience; English prevails.
28.8 Sanctions and export. You confirm you are not, and are not acting for, a person or entity subject to sanctions that prohibit us from dealing with you, and that you will not use the Service in breach of export-control law.
28.9 Third-party beneficiaries. Except Section 17.2 and the indemnified persons in Section 25, no third party has rights under these Terms.
28.10 Survival. Sections 7.2 (during the deletion period), 8, 10.3, 12.7, 15.8, 19.5 and 21-28 survive termination.
